Communiqué from the State Hermitage

Agreement on conditions for accepting the holding of a concert

St Petersburg, 29 March 2007.

The State Hermitage, a Federal State Cultural Institution, represented by its Director M.B. Piotrovsky, acting on the basis of its Charter, as the first party, and Planeta Plus CJSC, represented by its General Director E.G. Finkelshtein, acting on the basis of its Charter, as the second party, taking into account that on 28 July 2007 a Rolling Stones concert is planned to be held on Palace Square, have concluded the present Agreement about the following:

1. The State Hermitage believes it is possible to hold the concert of the Rolling Stones group on Palace Square on 28 July 2007, hereinafter the "Concert," only if Planeta Plus CJSC observes the following conditions:

1.1. Planeta Plus CJSC guaranties that during rehearsals for the Concert carried out in July 2007 and during the Concert itself there will be free access of visitors to all the entrances to buildings of the museum complex directly adjacent to Palace Square with due consideration given to the working hours when the State Hermitage is open to receive visitors.

1.2. Planeta Plus CJSC guarantees that:

  • 1.2.1. assembly of equipment for the Concert will be carried out in the period from 24 July 2007 through 28 July 2007;

  • 1.2.2. dismantling of equipment for the Concert will be carried out during the period from 28 July 2007 through 30 July 2007;

  • 1.2.3. when assembling and dismantling equipment for the Concert, no obstacles will hinder visitors to the State Hermitage at the entrances to and exits from the State Hermitage in the places especially set aside for this.

1.3. Planeta Plus CJSC guaranties that the level of acoustic pressure and vibrations in the buildings of the State Hermitage adjacent to Palace Square during the Concert and also during the rehearsals for the Concert of 28 July 2007 will not exceed the permitted level of 80 decibels (in accordance with requirements of the sanitary norms SN 2.2.4/2.1.8.562-96).

For the sake of implementing the conditions of the present point, Planeta Plus CJSC will conclude a contract to measure the level of acoustic pressure and vibrations in the buildings of the State Hermitage adjacent to Palace Square in the period when the Concert is held as well as in the period of the rehearsals for the Concert of 28 July 2007 with a company having a license for this form of activity. Measurements of the level of acoustic pressure should be made at the 10 points indicated in Appendix ¹ 1 to the present Agreement. In case the permitted level of acoustic pressure (80 decibels) is exceeded, as measured in the course of rehearsal for the Concert, Planeta Plus is obliged to turn down the indicated level to the permitted level for the period when the Concert is held.

In case the conditions stipulated in the present point are not met or are performed improperly, Planeta Plus CJSC assumes the obligation to pay the State Hermitage against a duly prepared invoice and supporting documentation of monitoring research on the condition of the facades of the buildings of the museum complex directly adjacent to Palace Square, as well as the monitoring investigations of exhibits and rooms in the buildings of the museum complex immediately adjacent to Palace Square.

1.4. Planeta Plus CJSC guaranties all equipment will be used only outside the security zone of the State Hermitage, which extends: 3 (Three) meters from the edge of the sidewalk situated on the paved part of Palace Square along the building of the Winter Palace and along the Eastern Wing of the General Staff building; the paved portion of Saltykov Square; part of Millionnaya Street up to building ¹31 along the axis and the embankment of the Winter Canal adjacent to the New Hermitage building.

1.5. Planeta Plus CJSC guaranties that in case there is need to use any pyrotechnical devices during the Concert and in the period of rehearsals for the Concert on Palace Square, all technical aspects will be agreed with the State Hermitage.

1.6. Planeta Plus CJSC guaranties that stage equipment will be produced with due consideration to the requirements established for such equipment and shown in the presently valid Regulations on Palace Square.

1.7. Planeta Plus CJSC guaranties that the assembled equipment for the Concert will not prevent people located on Palace Square from viewing the buildings of the State Hermitage museum complex.

1.8. Planeta Plus CJSC guaranties that in case it uses images of the buildings which are part of the State Hermitage museum complex, or in case it uses the symbols and official name in any kind of advertising campaign accompanying the holding of the Concert on Palace Square, it will conclude a civil law contract on compensation that must be concluded by law (per article 53 of the Foundations of Legislation of the Russian Federation on Culture) between the State Hermitage and Planeta Plus CJSC concerning the conditions for transfer of the right to reproductions of the buildings of the State Hermitage as an object of cultural heritage (paragraph 2, art.53 of the Foundations of Legislation of the Russian Federation on Culture) and use of symbols and the name of the State Hermitage (paragraph 1, art. 53 of the Foundations of Legislation of the Russian Federation on Culture).

1.9. Planeta Plus CJSC guaranties that it will conclude an insurance contract on third party liability for the period when the Concert is held, with insurance coverage in the amount of...

1.10. The present Agreement enters into force from the moment it is signed and is valid until both parties have acquitted their obligations.
